Summary: iCelebrate is a personal tool to celebrate the people you love. Use is limited to personal, non-commercial purposes. By creating an account, you agree to these Terms.

1. About iCelebrate

iCelebrate is a global web application that allows users to:

Track birthdays and important occasions for their loved ones
Organize relationships into circles (family, friends, colleagues…)
Manage wish lists and gift ideas
Share event photos
Receive personalized reminders

iCelebrate is operated by AyCommerce LLC, represented by Younes AAZEDINE, registered at 30 N Gould St Ste R, Sheridan, WY 82801, United States. Contact: aycommercellc@outlook.com

iCelebrate is a global service available worldwide with no restriction by country or region.

2. Acceptance of Terms

By accessing or using iCelebrate, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you must stop using the service.

We may update these Terms at any time. For material changes, users will be notified by email or in-app notification at least 15 days before the changes take effect. Continued use of the service after that date constitutes acceptance of the new Terms.

3. Account Registration

To use iCelebrate, you must create an account with a valid email address or phone number. Authentication is powered by Clerk.

You agree to:

Provide accurate and complete information at registration
Keep your account information up to date
Not share your login credentials with any third party
Notify us immediately of any unauthorized access to your account at aycommercellc@outlook.com
Be solely responsible for all activity conducted through your account

You must be at least 13 years old (or 16 in the EU/EEA) to use iCelebrate. By registering, you confirm that you meet this age requirement.

AyCommerce LLC reserves the right to suspend or terminate any account that violates these Terms, at its sole discretion and without prior notice.

4. Permitted Use

iCelebrate is for personal, non-commercial use only. You are permitted to:

Manage information about your personal contacts (family, friends) for personal use
Share your wish list with your circles
Upload photos from your personal events

You are strictly prohibited from:

Using iCelebrate for commercial, professional, or marketing purposes
Collecting or processing third-party personal data without their consent
Transferring your account to any other person
Attempting to circumvent any security or access controls
Posting illegal, defamatory, obscene, or infringing content
Using the service to harass, threaten, or harm any individual
Reverse engineering, decompiling, or attempting to extract the source code of the application
Using automated tools (bots, scrapers) to access or extract data from the service

5. User Content

You retain all rights to the content you submit (photos, notes, personal information). By submitting content, you grant AyCommerce LLC a limited, non-exclusive, revocable license solely to the extent necessary to operate and provide the service to you.

You are solely responsible for all content you submit and represent that you have the necessary rights to do so, including regarding photos and data about third parties.

⚠️ Third-party data: By entering information about your contacts, you agree to comply with applicable privacy laws. For strictly personal and household use, most privacy regulations (including GDPR Art. 2.2.c) provide an exemption. Outside this context, you are responsible for obtaining the consent of the individuals concerned.

6. Service Availability

AyCommerce LLC strives to provide the highest level of availability but does not guarantee uninterrupted access. The service may be temporarily unavailable for maintenance, updates, or due to events beyond our control (force majeure).

Planned outages will be announced in-app with reasonable notice. AyCommerce LLC is not liable for interruptions caused by external factors (internet outages, hosting providers, etc.).

7. Intellectual Property

All elements of iCelebrate (logo, design, code, text, features) are protected by intellectual property law and remain the exclusive property of AyCommerce LLC.

Any reproduction, distribution, or exploitation, even partial, without prior written authorization is strictly prohibited and may constitute infringement under applicable law.

8. Disclaimer of Warranties

iCelebrate is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

AyCommerce LLC does not warrant that the service will be error-free, that reminders will be delivered without fail, or that data will never be lost. You use the service at your own risk.

9. Limitation of Liability

To the fullest extent permitted by applicable law, AyCommerce LLC shall not be liable for:

Data loss resulting from user error or misuse
Indirect, incidental, or consequential damages
Content submitted by users
Acts or omissions of sub-processors (Clerk, hosting providers…) beyond our contractual obligations with them
Errors or inaccuracies in reminders, dates, or displayed information

In any case, AyCommerce LLC's total liability shall not exceed the total amount paid by you for the service in the 12 months preceding the event giving rise to the claim, or USD $10 if no payment was made.

Note for EU/UK consumers: Nothing in these Terms limits or excludes any rights you have as a consumer under applicable mandatory EU or UK consumer protection laws, which cannot be waived by contract.

10. Termination

By you: You may delete your account at any time from the app settings (Settings → Account Settings). Deletion results in permanent erasure of all your data within 30 days.

By AyCommerce LLC: We reserve the right to suspend or terminate your account for violation of these Terms, fraudulent behavior, or abuse of the service. Upon termination for cause, your data will be deleted within the same timeframe.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

Any dispute arising out of or related to these Terms or the use of iCelebrate that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of the State of Wyoming, United States.

EU / UK / Australian consumers: Mandatory consumer protection provisions of your country of residence may apply regardless of the choice of law above. You retain the right to bring claims before the courts of your country of habitual residence and to benefit from the mandatory protections of your local law.

Informal resolution: Before initiating any formal proceedings, we encourage you to contact us first at aycommercellc@outlook.com. We will make every reasonable effort to resolve any dispute amicably within 30 days.
